TERMS FOR RETAILERS

1. Retailer agrees to the wholesale minimum order values.  There are no minimum orders at this time.  This is subject to change at any time.

2.  Retailer must pay for shipping. There is no free shipping for wholesale purchases.

3. All orders must be paid for, in full, before being shipped. Any out-of-stock item will not be invoiced or shipped. E Nois does not offer back-ordering. It is the retailer's responsibility to reorder any out of stock item.

3. Retailer acknowledges and agrees that it shall provide E Nois with prompt written notification in the event of any change of business structure or ownership.

4. It is the sole responsibility of the Retailer to keep all business information up to date. This information includes, but is not limited to, change of billing address, shipping address, payment method, and credit card information.

5. Prices and availability of products are subject to change without notice.  Wholesale pricing is always a percentage off the MSRP- not the SALE price.  If an item is discounted on our site, the wholesale price is not discounted.  

6. There is no 30 Day Absolute Return Policy for wholesale purchases.  Only unused items in brand new condition may be returned.  If item is missing any tags or original packaging, there will be a 20% restocking fee.  Retailers must notify E Nois via email within 14 days of receiving products if he/she wishes to return or exchange items and retailer is responsible for cost of all shipping.  If the product is proven to be defective within that 14 day window, E Nois will pay for return and replacement shipping.

7. E Nois reserves the right, in its sole discretion, to revoke Retailer's wholesale account and cancel any outstanding orders without any liability whatsoever.

8. Retailer agrees not to advertise prices below E Nois's Suggested Retail Price - i.e., prices displayed on E Nois's website.  

10. Retailer agrees not to have an advertised sweeping discount of E Nois products. (i.e. 10% off all E Nois products)

11. Retailer must have written permission from E Nois to sell E Nois products on an online venue (i.e. Amazon, EBay, other…) other than their primary retail site.

12. Retailer is not permitted to sell or ship E Nois products outside the Applicant’s country without express written permission from E Nois.

13. Except as otherwise agreed in writing by the parties, these terms and conditions constitute the entire agreement between the parties relating to the sale of goods by E Nois. Terms or conditions contained in any document issued by Retailer that in any manner purport to alter, modify, change, suspend, or add to any term or condition contained herein, shall be deemed excluded and waived. E Nois and Retailer expressly agree that E Nois may modify these terms and conditions from time to time, and such modifications shall be binding upon Retailer upon notification.

14. Any breach of the aforementioned terms and conditions will result in penalties against the Retailer. These penalties may include, but are not limited to, dissolution of wholesale agreement, account suspension, restructured payment terms, restructuring of minimum order quantities or any other penalty deemed necessary by E Nois.
